Operational terms, sovereign IP ownership, and SLA compliance protocols for Dataeffet LLC. By accessing or deploying our BigQuery Medallion pipelines, you agree to the legal and technical terms outlined herein.
- 01. Sovereign IP OwnershipClient retains 100% exclusive intellectual property rights over bespoke Gold-layer business logic and custom Medallion transformations.
- 02. Pipeline SLA ComplianceEnforces operational governance for BigQuery Medallion ingestion across SP-API, Ads API, and external logistics webhooks.
- 03. Delaware LLC GovernanceAll legal agreements, liability frameworks, and SLA disputes operate under the strict corporate jurisdiction of Delaware, USA.
1. Agreement to Sovereign Infrastructure Terms
By accessing or deploying any component of the OS (including the 4-Tier Medallion Data Architecture or ASIN Audits), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not access our software infrastructure.
2. Architectural & Algorithmic IP Ownership
Dataeffet LLC retains exclusive legal copyright and intellectual property rights over the foundational pipeline software architecture. This includes generic dbt Medallion transformation templates and the AI Agent Context Layer. Clients deploying the OS receive a non-exclusive, non-transferable license. You may execute and consume the output of these pipelines solely for internal e-commerce operations.
3. Agency Tier Custom Builds & IP Ownership
Agency Tier deployments often require custom Gold-layer P&L business logic. All specific PPC yield-optimization formulas and custom Medallion configurations coded specifically for your tenant become your exclusive intellectual property upon invoice settlement. This logic runs inside a cryptographically isolated tenant within our managed BigQuery environment. We never reuse proprietary client algorithms across competing tenants.
4. SP-API Data Integrity & Limitation of Liability
We provide e-commerce data infrastructure, Medallion refineries, and decision support engines. We do not provide financial, legal, or tax advice. Insights generated by the AI agent serve as operational decision support only. We hold no liability for business losses resulting from platform-side API changes (like Amazon SP-API throttling), A9 algorithm shifts, or 3PL fulfillment failures.
5. Subscription, SLA Billing & Token Governance
The OS subscriptions (Beginner Tier at $299/mo, Standard Tier at $649/mo, Premium Tier at $1,499/mo, and Agency Tier at $1,999+/mo) are billed monthly in advance. Failure to maintain payment triggers immediate automated suspension of BigQuery Medallion pipeline execution. AI Agent context availability will also stop.
6. Termination & Cryptographic Data Purge
You may terminate your subscription through the terminal at any time. Active ingestion from Amazon SP-API and Ads API ceases immediately. Dashboard access is revoked. Clients can request an immediate cryptographic purge of stored pipeline state tables. Agency Tier terminations must follow the notice period defined in your specific MSA.
